ABN or company: which one do you actually need?

If you've started picking up work on the side, someone has probably told you to "just get an ABN." Good advice as far as it goes — but it leads a lot of people to think an ABN and a company are the same thing. They're not, and the difference matters more than most new operators realise.

What an ABN actually is

An Australian Business Number is an 11-digit number that identifies your business to the government, the tax office and the people you invoice. It lets you quote and invoice properly, register for GST, and avoid having tax withheld from your payments.

Here's the key point: an ABN does not create a separate business. If you're operating as a sole trader with an ABN, you are the business. Your business income is your income, and your business debts are your debts.

What a company is

A company (the "Pty Ltd" you see after business names) is a separate legal entity. It has its own tax file number, its own ABN, and — crucially — its own legal identity. The business is no longer just "you with an ABN"; it's a thing that exists in its own right, that you own and direct.

That separation is the whole point. It can help protect your personal assets if something goes wrong, it's often expected by bigger clients and head contractors, and it can change how your tax works.

So which one do you need?

There's no universal answer — it depends on three things:

  • Your risk. The more exposure your work carries, the more a company's separation tends to matter.
  • Who you work for. Plenty of builders, agencies and commercial clients simply won't engage a sole trader.
  • Where you're headed. Staying a one-person operation is very different from planning to take on staff, partners or finance.

A company also comes with more obligations — annual fees, record-keeping and director responsibilities — so it isn't automatically the "better" option. It's the right option for some people and overkill for others.
